Account Debtor

In UCC language, the party who owes money on a receivable, from a business owner's perspective, your customer. When an MCA funder claims your receivables, your customers are the account debtors it can notify under UCC 9-406.

Why it matters

The term matters because the statute's rights and duties attach to it: an account debtor who receives valid notice must pay the assignee to be safe, but is also entitled to request reasonable proof of the assignment first.
